These terms of use ("Terms") govern your use of Taiga. By using Taiga, you agree to be bound by these Terms. Please read these document carefully.

These Terms constitute a legally binding agreement between you ("you", "your", "yours", or "the User") and Coyotiv GmbH ("Taiga", "the Owner", "we", "us", or "our").

Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms or our Privacy Policy, please do not access or use the Services.

User Conduct

You agree to use Taiga only for lawful purposes and in a manner that does not infringe on the rights of others or inhibit their use of the service. You must not:

  • use Taiga to harass, threaten, or harm others;
  • use Taiga to impersonate others or misrepresent yourself;
  • use Taiga to transmit viruses, malware, or other harmful content;
  • attempt to gain unauthorized access to Taiga or its systems;
  • interfere with or disrupt the service or its functionality.

We reserve the right to terminate your use of Taiga if we believe that you have violated these Terms or engaged in any other conduct that is harmful or disruptive to the service.

User Content

Taiga allows users to interact with the service and generate responses to questions about software engineering. You retain ownership of any content you submit through Taiga, including messages and questions.

By submitting content through Taiga, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and distribute that content for the purpose of providing the Taiga service.

You are solely responsible for the content you submit through Taiga. You must not submit content that:

  • infringes on the rights of others, including intellectual property rights;
  • contains obscene, offensive, or defamatory material;
  • contains private or sensitive information about others without their consent;
  • violates any applicable laws or regulations.

We reserve the right to remove any content that we believe violates these Terms or is otherwise harmful or inappropriate.

Intellectual Property

Taiga and its associated content, including text, graphics, logos, and software, are protected by intellectual property laws and belong to us or our licensors. You may not use Taiga or its content for any commercial purpose without our prior written consent.

Hacking

You are prohibited from damaging, denying service to, hacking, cracking, reverse-engineering, or interfering with Taiga’s Services in any way. If you do interfere with our Services, you agree to pay for or refund all damages that result.

We take the security of our Services and our users seriously, and any attempt to hack or interfere with Taiga’s Services may result in immediate termination of your account and legal action, as well as other remedies available under the law. We reserve the right to take any action we deem appropriate to enforce these terms of use, including the right to deny any or all access or service to any User for any reason, at any time, at our sole discretion. We may disallow your continued use of the Services without giving you any advance notice and we may use any available legal remedies.

Disclaimer of Warranties

Taiga is provided on an "as is" basis without any warranties, express or implied. We do not guarantee that Taiga will be error-free or uninterrupted, or that it will meet your specific requirements.

Limitation of Liability

In no event shall we be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of Taiga. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses.

Indemnification

You agree to indemnify and hold us harmless from any and all claims, liabilities, damages, and expenses arising out of or in connection with your use of Taiga, your violation of these Terms, or your violation of any applicable laws or regulations.

Termination

We reserve the right to terminate your use of Taiga at any time and for any reason. Upon termination, your access to Taiga will be immediately revoked.

No Waiver

The Owner’s failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term.

Service interruption

To ensure the best possible service level, the Owner reserves the right to interrupt the Service for maintenance, system updates or any other changes.

Within the limits of law, the Owner may also decide to suspend or terminate the Service altogether. If the Service is terminated, the Owner will cooperate with Users to enable them to withdraw Personal Data or information in accordance with applicable law.

Additionally, the Service might not be available due to reasons outside the Owner’s reasonable control, such as “force majeure” (eg. labor actions, infrastructural breakdowns or blackouts etc).

Assignment of contract

The Owner reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms, taking the User’s legitimate interests into account. Provisions regarding changes of these Terms will apply accordingly.

Users may not assign or transfer their rights or obligations under these Terms in any way, without the written permission of the Owner.

Service reselling

Users may not reproduce, duplicate, copy, sell, resell or exploit any portion of this Website and of its Service without the Owner’s express prior written permission, granted either directly or through a legitimate reselling programme.

Payment Processing

Taiga may use Stripe to process payments made for our Services. By purchasing our Services, you agree to be bound by Stripe's Terms of Service https://stripe.com/en-de/legal, which are incorporated herein by reference. You also agree to provide accurate and complete payment information when you make a purchase through our Services. You hereby authorize Taiga and Stripe to charge your payment method for any charges incurred in connection with your use of the Services.

If you believe there is an error in your billing statement or you wish to dispute a charge, you must contact us within 7 days of the date of the disputed charge. We will investigate the matter and may issue a refund or credit, in our sole discretion.

Taiga and Stripe reserve the right to change our payment terms and pricing at any time, in our sole discretion.

Severability

Should any provision of these Terms be deemed or become invalid or unenforceable under applicable law, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

  • US Users

    Any such invalid or unenforceable provision will be interpreted, construed and reformed to the extent reasonably required to render it valid, enforceable and consistent with its original intent. These Terms constitute the entire Agreement between Users and the Owner with respect to the subject matter hereof, and supersede all other communications, including but not limited to all prior agreements, between the parties with respect to such subject matter. These Terms will be enforced to the fullest extent permitted by law.

  • EU Users

    Should any provision of these Terms be or be deemed void, invalid or unenforceable, the parties shall do their best to find, in an amicable way, an agreement on valid and enforceable provisions thereby substituting the void, invalid or unenforceable parts.

    In case of failure to do so, the void, invalid or unenforceable provisions shall be replaced by the applicable statutory provisions, if so permitted or stated under the applicable law.

    Without prejudice to the above, the nullity, invalidity or the impossibility to enforce a particular provision of these Terms shall not nullify the entire Agreement, unless the severed provisions are essential to the Agreement, or of such importance that the parties would not have entered into the contract if they had known that the provision would not be valid, or in cases where the remaining provisions would translate into an unacceptable hardship on any of the parties.

Governing Law

These Terms and your use of Taiga shall be governed by and construed in accordance with the laws of Germany. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Germany.

Changes to these Terms

We may update these Terms at any time and without notice. By continuing to use Taiga, you agree to be bound by the updated Terms.

If required by applicable law, we will specify the date by which the modified Terms will enter into force.

Disclaimer

Taiga is designed to provide helpful responses, however, it's important to note that the chatbot may generate inaccurate or offensive content, as it's impossible to eliminate these entirely.
